1. LEGAL AGREEMENT

This document is an electronic record in terms of the Information Technology Act, 2000 and rules thereunder as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011 that require publishing the rules and regulations, privacy policy and Terms of Use for access or usage of domain name www.welcome.invexis.co.in (hereinafter referred to as the 'Platform').

The Platform is owned and operated by Invexis, with its registered office at R No 3 SRINILAYAM P No 17 Vivekanandanagar colony nadergul Hyderabad Telangana (hereinafter referred to as 'Platform Owner', 'we', 'us', 'our').

2. ACCEPTANCE OF TERMS

By accessing, browsing, or otherwise using the Platform, you agree to be bound by these Terms of Use, our Privacy Policy, and any other applicable policies incorporated herein by reference. If you do not agree to these terms, you must cease using the Platform immediately.

3. ELIGIBILITY AND REGISTRATION

Accuracy: You represent that all information provided during registration is true, accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials.
Responsibility: You are solely responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that provide false information or violate these terms.

4. SCOPE OF SERVICES

Invexis provides a technology platform for precision kitchen management, including but not limited to Ingredient Based Mapping (IBM), QR-powered billing, and inventory analytics (collectively, 'Services'). We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice or liability.

5. INTELLECTUAL PROPERTY RIGHTS

Ownership: All content on the Platform, including text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, software, and the proprietary "Atomic-Level" inventory deduction logic, is the exclusive property of Invexis or its content suppliers and is protected by Indian and international copyright and intellectual property laws.
License: We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for your internal business purposes only.
Restrictions: You shall not reverse-engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of the Platform.

6. PAYMENT AND BILLING

Fees: You agree to pay all applicable charges for the Services as specified on the Platform or in your service agreement.
Third-Party Gateways: Payments are processed via third-party providers We are not liable for errors, failures, or security breaches occurring on third-party payment platforms.
Taxes: All fees are exclusive of applicable taxes (GST), which shall be your responsibility.

7. PROHIBITED CONDUCT

You agree not to:

Use the Platform for any illegal or unauthorized purpose.
Interfere with or disrupt the integrity or performance of the Platform.
Attempt to gain unauthorized access to the Platform or its related systems.
Use any automated system (bots, spiders) to access the Platform.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL INVEXIS, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

In no event shall our total liability for all claims exceed the amount paid by you to Invexis in the three (3) months preceding the event giving rise to the claim.

9. DISCLAIMER OF WARRANTIES

The Platform and Services are provided on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Invexis and its officers, directors, and employees from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of the Platform; (ii) your violation of any term of these Terms of Use; or (iii) your violation of any third-party right, including intellectual property or privacy rights.

11. FORCE MAJEURE

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, riot, embargoes, acts of civil or military authorities, fire, floods, accidents, service outages resulting from equipment and/or software failure, and/or telecommunications failures.

12. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana.

13. TERMINATION

We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.
